This Affiliate Agreement ("Agreement") is between BeeBlown Media Pvt. Ltd. ("BeeBlown") and you, the registered partner ("Partner", "you"). It applies in addition to the Terms & Conditions. You accept this Agreement when you register; it governs how you promote eligible products and how commissions are earned and paid.
1. Relationship
You are an independent contractor. Nothing in this Agreement creates employment, partnership, agency, franchise or joint venture. You may not make commitments on behalf of BeeBlown or any brand, and you must not describe yourself as an employee, official representative or "BeeBlown Media" itself. The correct description is "independent BeeBlown partner".
2. Qualification to promote
You may promote products only while you: (a) hold an active Super or VIP membership; (b) have completed the required training and passed the related assessments; (c) have accepted the ethical promotion and disclosure policy; and (d) have been approved. Certain products may additionally require VIP membership, a product-specific course, or brand approval.
3. How commissions are earned
- Commission is earned only on a verified eligible event reported by the product: a paid sale, an eligible renewal or upgrade, a qualified lead, or a completed and paid service — as stated on each product page.
- A click, visit, sign-up or enquiry by itself never earns commission unless the product explicitly pays per qualified lead.
- No commission, bonus or reward of any kind is paid for recruiting other partners, for membership fees paid by anyone, or for building a "team" or "downline".
- Your membership plan determines your rate range (Super 10–15%, VIP 20–25%). Each product sets its exact rate, model (percentage or fixed) and event within the applicable range. The rate shown in the marketplace at the time of the eligible event applies.
- The commission rule version in force at the time of the event is stored with each commission. Later changes do not alter commissions already created.
- Campaign bonuses apply only to the products, plans and dates stated in the campaign and may be subject to a budget cap.
4. Attribution
- A sale is attributed to you when the customer reaches the product through your tracked link (
/go/…) or your personal website, and the eligible event occurs within the product's attribution window (commonly 30 days). Approved coupons and recurring renewals of customers you originally referred may also be attributed. - Unless a product states otherwise, attribution is last-click: if a customer follows several partners' links, the most recent valid click within the window is credited.
- Tracking relies on cookies and on brands reporting events correctly. If you believe a sale was not attributed, raise an attribution dispute ticket within 30 days of the sale with supporting details. Our decision, based on available records, is final.
5. Validation, approval and reversal
- New commissions are created as Pending and remain so for the product's validation period (shown on the product page, typically 7–30 days) to cover refunds and cancellations.
- After validation without refund, dispute or fraud flag, a commission becomes Approved and is then released as Available for payout.
- If the customer receives a refund or chargeback, the related commission is Reversed. If the commission was already paid, the amount is recovered from your future available balance (clawback).
- We may place a commission On Hold during a review (for example suspicious clicks, self-referral indications, a complaint or an account investigation) and later release, reject or reverse it based on the findings.
6. Commissions after membership expiry
If an eligible event attributed to you occurs while your membership is not active, the commission is created but placed On Hold. If you renew your membership within 90 days of the event, held commissions are released for normal validation. If you do not renew within 90 days, those held commissions are forfeited. Commissions earned while your membership was active are unaffected by later expiry and continue through validation and payout normally.
7. Payouts
- You may request a payout when your Available balance is at least ₹1,000. Payouts are processed monthly.
- Payouts are made only by bank transfer or UPI to an account in your own name, after your payout details are verified. Third-party accounts are not permitted.
- Each paid payout carries a transaction reference shown in your statement. If a transfer fails, the amount returns to your Available balance and is never marked as paid.
- Your wallet is an internal accounting ledger, not a bank account or stored-value instrument, and balances do not earn interest.
8. Taxes (TDS and GST)
Commission payments may be subject to tax deduction at source (TDS) under the Income-tax Act, 1961, at the rates applicable to your PAN and status, and deducted tax will be reflected in your statement and Form 16A where applicable. If you are registered under GST or required to register, you are responsible for GST compliance on commissions, and we may request a tax invoice. You are solely responsible for reporting your income and paying your taxes. Note: the specific TDS sections, thresholds and GST treatment applied by BeeBlown are subject to review by our Chartered Accountant and may be updated; we will notify partners of any change.
9. Mandatory disclosure
- Every promotion containing your link — website, social post, video, story, reel, message, email or advertisement — must clearly and prominently disclose that you may earn a commission, for example: "I'm an independent BeeBlown partner and may earn a commission if you buy through my link."
- Disclosures must be in the same language as the promotion, placed where viewers will see them before clicking (not hidden in hashtags or "see more"), and comply with the ASCI Guidelines for Influencer Advertising and the Consumer Protection Act, 2019.
- Your personal partner website includes a disclosure automatically; you must not remove or obscure it.
10. Prohibited practices
- Self-referral: purchasing through your own link or coupon, or for yourself, your household, or accounts you control. Self-referral commissions are held or rejected and repeated attempts lead to suspension.
- Income or result claims: promising or implying guaranteed income, earnings, returns, jobs or results from products or from joining the programme.
- Recruitment selling: promoting the partner membership as a way to make money, or asking people to "join under you".
- False information: inventing prices, discounts, features, endorsements or testimonials; using unapproved claims about any product.
- Spam and abuse: unsolicited bulk SMS, WhatsApp or email; posting links where not allowed; misleading redirects, link cloaking to hide destinations, or iframing product sites.
- Click manipulation: bots, incentivised or forced clicks, cookie stuffing, or any artificial traffic.
- Brand bidding and impersonation: bidding on BeeBlown or brand names in paid search, or creating pages, profiles or domains that look like official brand properties, unless expressly permitted in writing.
- Promotion on websites or channels with illegal, hateful, adult, gambling or otherwise objectionable content.
11. Consequences of breach
If you breach this Agreement we may, depending on severity: issue a warning; hold, reject or reverse affected commissions; deactivate links or unpublish your website; suspend or terminate your account; and recover amounts already paid for invalid commissions. Where commissions are reversed for fraud, related payouts may be withheld pending investigation.
12. Brand materials and data
Use only approved marketing materials and product information from the Platform, without alteration that changes their meaning. Do not collect customers' payment details. Any customer information you receive must be handled lawfully and only for the purpose for which it was shared.
13. Changes to rates and products
BeeBlown and its brands may add, pause or remove products, and change rates, events, attribution windows or validation periods for future events, with notice through the Platform. Changes never reduce commissions already created under an earlier rule version.
14. Term and termination
This Agreement continues while you hold a partner account. Either party may terminate it at any time. On termination, valid commissions that complete validation will be paid in accordance with this Agreement (subject to the minimum payout and any amounts owed by you), and held commissions are treated under section 6 or section 11, as applicable.
15. No guarantee of income
BeeBlown makes no representation that you will earn any particular amount, or anything at all. Earnings depend on many factors outside our control, including your effort, audience, the products and customer decisions.
16. General
This Agreement, together with the Terms & Conditions, Privacy Policy and Refund & Cancellation Policy, is the entire agreement on its subject. Governing law, jurisdiction and dispute resolution are as set out in the Terms & Conditions.
